Terms of Usage

1. Purpose and Scope

These Terms of Usage ("Usage Terms") define the acceptable and prohibited uses of the Vertex CRM platform and related services. They apply to all users, including administrators, end users, and any person who accesses or uses the Service, whether on behalf of an organization or otherwise. By using Vertex CRM, you agree to comply with these Usage Terms in addition to our Terms and Conditions and Privacy Policy. Violation may result in suspension or termination of access and, where appropriate, legal action.

These Usage Terms are intended to protect the integrity, security, and availability of the Service for all users and to ensure compliance with applicable laws and industry standards. Your organization may impose additional usage policies; you must comply with both these Usage Terms and your organization's policies.

2. Permitted Uses

You may use Vertex CRM only for lawful business purposes that are consistent with the intended functionality of the Service. Permitted uses include, but are not limited to:

  • Managing customer and prospect relationships, including storing and updating account, contact, lead, and opportunity data.
  • Creating and tracking activities, tasks, and cases related to your business processes.
  • Managing products, price books, and sales pipelines within your organization.
  • Running campaigns and reports for marketing and sales analysis.
  • Collaborating with other authorized users within your organization in accordance with role-based access controls.
  • Integrating the Service with other systems via supported APIs or integrations, in compliance with our API terms and rate limits.
  • Exporting or backing up your organization's data for legitimate business continuity or compliance purposes, in accordance with your agreement and our data policies.

You must use the Service in a manner that respects the rights of others and does not interfere with the operation of the Service or the experience of other users.

3. Prohibited Uses

You must not use Vertex CRM in any of the following ways:

3.1 Illegal or Harmful Activity

You may not use the Service to violate any applicable local, state, national, or international law or regulation, or to facilitate or encourage illegal activity. This includes, but is not limited to: fraud; money laundering; terrorism financing; distribution of illegal content; harassment; defamation; infringement of intellectual property; or violation of data protection, export control, or sanctions laws.

3.2 Security and Integrity

You may not attempt to gain unauthorized access to the Service, other users' accounts, or any system, network, or data; probe or test vulnerabilities; circumvent authentication or access controls; introduce malware, viruses, or other harmful code; or conduct denial-of-service or similar attacks. You may not reverse engineer, decompile, or disassemble the Service except to the extent expressly permitted by applicable law.

3.3 Abuse of the Service

You may not use the Service in a manner that could damage, disable, overburden, or impair the Service or our infrastructure; use automated means (e.g., bots, scrapers) to access or interact with the Service except where we provide an API or expressly permit such use; or exceed reasonable usage volumes or rate limits in a way that negatively impacts other users or the stability of the Service.

3.4 Misuse of Data and Content

You may not input, store, or transmit content that you do not have the right to use; that is false, misleading, or defamatory; that infringes any third-party right; or that contains personal data of individuals without a lawful basis and appropriate disclosures. You may not use the Service to send unsolicited bulk communications (spam) or to phish or deceive others.

3.5 Resale and External Use

Unless expressly permitted in your agreement, you may not resell, sublicense, or provide the Service to third parties as a service; use the Service to build a competing product; or use the Service primarily for the benefit of parties outside your organization (e.g., as a service bureau) without our prior written consent.

4. Data and Content Responsibilities

You are responsible for the accuracy, legality, and appropriateness of all data and content you or your users submit to the Service. You represent and warrant that you have the necessary rights and consents to input such data and that your use complies with applicable data protection laws (e.g., GDPR, CCPA). You must not input sensitive categories of personal data (e.g., health, biometric, or precise geolocation) unless the Service explicitly supports such data and you have implemented appropriate safeguards and legal bases.

We may remove or refuse to display content that we reasonably believe violates these Usage Terms, our Terms and Conditions, or applicable law, or that poses a risk to the Service or others. We are not obligated to monitor all content but may do so to enforce these terms and protect the Service.

5. Account and Access Management

You must keep your account credentials confidential and not share them with others. You are responsible for all activity under your account. If you are an administrator, you are responsible for managing user accounts, roles, and permissions in a manner that complies with these Usage Terms and your organization's policies. You must revoke access promptly when a user leaves your organization or when access is no longer appropriate.

We may suspend or terminate accounts that we reasonably believe are in violation of these Usage Terms or that pose a security or legal risk. We will endeavor to provide notice where practicable and not precluded by law or security concerns.

6. API and Integration Usage

If you use our APIs or integration features, you must comply with any applicable API documentation, rate limits, and terms. You may not use APIs to circumvent the normal use of the Service, to extract data beyond what your license permits, or to build a product that competes with Vertex CRM without a separate agreement. You are responsible for securing any API keys or credentials and for the actions of any applications or systems that access the Service using your credentials.

7. Monitoring and Enforcement

We may monitor usage patterns, perform security and abuse checks, and investigate suspected violations of these Usage Terms. We may use automated tools and human review as appropriate. By using the Service, you consent to such monitoring and investigation to the extent permitted by law. We may disclose information to law enforcement or other authorities when required by law or when we believe in good faith that disclosure is necessary to protect our rights, users, or the public.

If we determine that you have violated these Usage Terms, we may take action including: warning you; restricting or suspending your access; removing content; terminating your account; and reporting the conduct to your organization or to law enforcement. We are not liable to you for any action we take in response to a perceived violation.

8. Compliance with Laws and Policies

You must use the Service in compliance with all applicable laws and regulations, including those relating to data protection, privacy, export control, anti-corruption, and sanctions. You must not use the Service in or for the benefit of any jurisdiction, entity, or person subject to sanctions or export restrictions that prohibit such use. You are responsible for obtaining any necessary consents and for maintaining records that demonstrate your compliance.

Your organization may have additional policies (e.g., acceptable use, data classification, or security policies). You must comply with those policies when using Vertex CRM. Conflicts between organizational policies and these Usage Terms should be escalated to your administrator or to us as specified in your agreement.

9. Changes to These Usage Terms

We may update these Terms of Usage from time to time to reflect changes in the Service, legal requirements, or our policies. We will post the updated version on this page and update the "Last updated" date. For material changes, we may provide additional notice (e.g., by email or in the Service). Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Usage Terms, except where further consent is required by law. If you do not agree, you must stop using the Service.
